We are currently seeking an experienced individual to join this team in the role of Assistant Company Secretary .

The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters with the provision of end-to-end corporate governance advice, and leads and implements a world-class corporate governance practice throughout the Group. The CG&S function consists of c.240 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman.

The role holder as part of the CG&S team will drive the Function's 5 priorities:

1. Protecting the Bank

2. Connecting the Bank

3. Supporting the delivery of strategy

4. Drive informed decision making, and do all this whilst

5. Simplifying Governance

Reporting to the HSG, the role holder is accountable to support the provision of world class end to end corporate governance and listing rule compliance across the HSBC listings, in addition to supporting the Policy and Stakeholder Engagement (PSE) team more widely.

The role holder will support the HSG and PSE team on all governance activities, including, but not limited to:

Delivery of specific shareholder governance tasks and projects including the HSBC dividend payment process, share buy-backs, share plan allotments, stock exchange announcements, Financial Reporting sections, shareholder queries and other adhoc shareholder governance projects.

·
Delivery of the HSBC Annual General Meeting (AGM) including the Notice and logistics.

·
The PDMR dealing process, including the tracking of all requests, approvals and announcements.

·
Verify compliance with relevant regulatory requirements including the FRC Guidelines, the UK Corporate Governance Code, the HK Governance Code, the Companies Acts of the UK and HK and the listing requirements of the UK, HK and NYSE as applicable;

·
Supporting PSE's general advisory activities including researching, analysing and reporting on matters as required;

·
Liaising with stakeholders in the Functions and across the Businesses as required to ensure timely delivery of responsibilities; and

·
Covering for other members of CG&S during their absence or otherwise, as required, to be responsive to requirements of the team;

In addition, the individual will:

Provide advice, guidance and support to members of the CG&S function;

·
Contribute to ad hoc CG&S projects and tasks, including corporate transactions, regulatory projects and regulatory submissions as required;

·
Develop and manage relationships with key internal and external stakeholders;

·
Consider effective ways of driving improvement and modernization; and

·
Be a role model of the HSBC values and business principles

Desired profile



Qualifications :

To be successful in this role you should meet the following requirements:

· 
Qualified company secretary or lawyer or similar professional qualification with corporate governance experience in a high quality, large and complex organisation.

· 
Shareholder governance experience in a large UK plc or complex organisation.

· 
UK/HK/European regulatory and listing experience/awareness is desirable.

· 
Financial services experience is desirable but not essential.

· 
Proven communication skills.

· 
Ability to develop and maintain strong relationships with stakeholders.

· 
Excellent analysis, design and problem solving skills.

· 
Able to deal with conflicting views and where necessary, succinctly escalate to senior management

· 
Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders.

· 
Ability to look at the bigger picture as well as have a keen eye for detail.

Base location for this role is 8 Canada Square, London
