DUBAI-BURJUMAN BUSINESS TWR(ARE)
Job Description

Accountabilities:
·  Set up the legal structures enabling the business units to operate in these countries in accordance with the applicable legislation.
·  Inform about legal constraints and provide legal advice helping the business units to take the right decisions.
·  Ensure agreements signed by our legal entities follow TOTAL standards.
·  Ensure the implementation of group HSEQ rules and adhere to company policies & systems Negotiations and Agreements
·  Advise on terms of existing agreements / prepare, advise, negotiate and validate new contracts with national companies, shareholders, clients and Joint Venture partners relating to operational lease, production, distribution, marketing, sales, purchase, procurement, IT & services, aviation and employment.
·  Ensuring that agreements are compliant with local laws and regulations and Group Policies
Corporate Requirements
·  Coordinating with local authorities for permitting, company registration and various requests (Ministry of Human Resources, Customs, Ministry of Energy and Industry, Ministry of Economy, JAFZA, DED, Masdar, etc...)
·  Advising the companies' management on various legal aspects of their business (corporate structure, HR, labour law, tax, customs, compliance, sanctions affected operations, etc...)
·  Supervising documentation for the General Secretarial Affairs (e.g. resolutions, share transfer, acquisitions, mergers, establishment of companies, annual general meetings, meetings of board of directors, external and internal delegations, due diligence, power of attorneys etc).  
Intellectual Property Support
·  Following up of counterfeiting issues in the Middle East in liaison with Total Trademark Department in Paris and local IP firms (investigations, administrative actions, law suits, etc...)
·  Representing Total at the board of Gulf Brand Protection Group   
Additional Legal Support
·  Select and manage external legal support in UAE, Qatar and other countries of the business perimeter HSE, Ethics & Compliance
·  Ensuring legal compliance of any and all operations with competitors (anti-trust and competition law)
·  Issuing procedures and processes to ensure compliance with Group policies and internal regulations
·  Conducting awareness campaigns on legal requirements & processes through trainings and presentations (contracts, anti­corruption, anti-fraud, conflict of interest, competition/anti-trust laws etc).

QUALIFICATIONS / EXPERIENCE REQUIRED:
Degree: Masters Degree in Law
Experience: Previous experience in a business legal environment (5- 7 years experience in-house or a corporate law firm)
Previous experience in GCC legal Environment
Knowledge/Skills: Knowledge of French, English and GCC Legal System,

REQUIRED SKILLS:
Fluency in English (French recommended); Autonomy, adaptability, capacity to work in a multicultural environment; Intercultural communication and managerial skills.

Context and environment

·  The Legal Department provides legal advice to all of Total's companies in the UAE to protect the interest of Total and minimize legal risks.
·  The scope of the job includes many high value assets with complex and voluminous contractual arrangements.
·  Working in an environment where the legal regime (esp. the energy sector) is not highly developed with recent and constantly changing legislations, so clear answers are often not available.
·  The Legal Department is involved with negotiations and legal discussions which can be protracted and require a flexible, diplomatic approach in order to achieve the business objectives without significant compromise on legal issues.
