We are currently seeking an experienced individual to join this team in the role of Governance Administrator, GBM .

The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group. The CG&S function consists of c.220 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman.

The role holder as part of the CG&S team will drive the Function's 5 priorities:

1. Protecting the Bank

3. Supporting the delivery of strategy

4. Drive informed decision making, and do all this whilst

5. Simplifying Governance

Reporting to the Corporate Governance Officer (CGO) for Global Banking & Markets (GB&M), the role holder is responsible for supporting the CGO (GB&M) in the provision of world class end to end corporate governance and secretarial services to GB&M Exco, RMM and relevant executive committees as required to enable the efficient and effective operation of meetings and delivery of PSE team objectives.

The role holder will support the PSE team on all governance activities, including but not limited to:

Supporting the delivery of a world class and efficient company secretarial service for the GB&M Exco and Risk Management Meetings (hereinafter” line of business executive committees”/ “LOBEC”)

Supporting and management of LOBEC through planning, drafting of agendas, paper collation, distribution and follow up actions;

·
Supporting the CGO for GB&M in their role as a trusted advisor to the Chair and to relevant committees and Forums on all corporate governance and company secretarial related matters e.g. the UK Corporate Governance Code, SMR regime and other corporate governance codes and principles. This will include coordinating the formulation of the line of business' position regarding any relevant external consultations related to GB&M governance and practice in conjunction with the Global Head PSE.

Supporting PSE's general advisory activities including researching, analysing and drafting guidance, board papers and other documents as required.

Record keeping and responding to regulatory and other information requests.

·
Assisting with the maintenance of, and obligations under the Delegated Authority policy;

·
Establishing systems for, and supporting and maintaining, horizon scanning activities and responses to industry forums; and

·
Supporting and facilitating the efficient delivery of objectives of the Global Head, PSE.

Qualifications :

In addition, the individual will:

Provide advice, guidance and support to members of the CG&S function;

· 
Contribute to CG&S projects and tasks, including corporate transactions, regulatory projects and regulatory submissions;

· 
Develop and manage a wide range of relationships with key stakeholders;

· 
Consider effective ways of driving improvement and modernisation; and

· 
Be a role model of the HSBC values and business principles

To be successful in this role you should meet the following requirements:

· 
Studying towards a company secretarial or other governance-related professional qualification,

· 
Working knowledge of UK (and preferably Hong Kong) Listing Rules

· 
UK/European corporate and financial regulatory/legislative experience/awareness and interest is desirable.

· 
Strong understanding of legal entity corporate governance obligations.

· 
Financial services experience is desirable but not essential.

· 
Proven communication skills.

· 
Ability to develop and maintain strong relationships with stakeholders.

· 
Excellent analysis, design and problem solving skills.

· 
Able to deal with conflicting views and where necessary, succinctly escalate to senior management

· 
Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders.

· 
Keen eye for detail

Base location for this role is 8 Canada Square, London
