Job Description:

   

Acts as legal advisor to internal clients in the Global Procurement, Information Technology and Marketing functions of HPE. Identifies legal risk and recommends solutions that help address the clients’ objectives. Represents company in transactions, interactions, or disputes with customers, suppliers, partners, and competitors. Balances the business interests of client groups with ultimate fiduciary responsibility to company.

Global Procurement and IT :

Reviews, drafts and negotiates transactional agreements and other legal documents, including contracts with vendors by engaging with Global Procurement and IT personnel in negotiating, drafting and reviewing major and/or non-standard commercial and technology contracts with HPE vendors, including licensing agreements, maintenance agreements, professional services agreements, cloud services agreements, software as a service agreements, e-commerce agreements, development agreements, evaluation agreements, and non-disclosure agreements.

Marketing :

·  Reviews marketing and advertising campaigns, copy and content from concept through execution (as applicable), and providing legal compliance risk assessments, and propose creative solutions where applicable, to help advance business objectives in a risk-tolerant manner and with particular emphases on analyzing claim substantiation issues as well as issue spotting relating to false and misleading advertising.
·  Provides legal advice and counseling on various marketing initiatives spanning numerous advertising platforms, including traditional media, digital and social media (e.g. drafting or refreshing rules related to social media, community posting and influencer policies).
·  Reviews and/or drafts applicable terms and conditions for contests, promotional offer terms, disclosures, disclaimers, press releases and related communications, and implements appropriate processes applicable to the foregoing.
·  Drafts, negotiates and/or reviews a variety of marketing related commercial agreements, including partnership, sponsorship, advertising, vendor (e.g., creative agencies, promotion and contest related vendor agencies), event-related, confidentiality and other agreements.

Responsibilities:

·  Provides legal advice to support client decisions within the Global Procurement, Information Technology and Marketing functions.
·  Provides legal advice, guidance and training to client functions on legal and risk issues arising from the day-to-day business of the company.
·  Offers creative solutions to help resolve business issues and eliminate blockers.
·  Coordinates advice from internal subject matter experts.
·  Advises management on any disputes between the company and any of its vendors.  Collaborates with assigned litigation resources in HPE’s response to and resolution of such disputes.
·  Develops risk profiles addressing complex specialty law.
·  Refines and builds knowledge from a variety of resources, working towards becoming an expert within a specific legal concentration, and shares knowledge with other team members.

Education and Experience Required:

·  Advanced university degree in law (e.g. JD or LLB); additional advanced degree relevant to the specialty preferred.
·  Meets local legal license requirements.
·  Typically 4-6 years commercial legal experience at a law firm or in-house.
·  Well developed level of business experience supporting clients or advising on specialty law matters.

Knowledge and Skills:

·  Well-developed breadth of practical knowledge within assigned legal concentrations, with demonstrated in- depth knowledge in one or more sub- areas within the specific legal concentration.
·  Strong client relationship and development skills.
·  Good knowledge of company policies and procedures.
·  Well-developed competence and experience in negotiating or advising on legal and business matters in the specialty.
·  Must exhibit a high degree of initiative in adapting to changing priorities and organizational needs, managing multiple priorities simultaneously in a detail-oriented work environment.
·  Able to translate complex legal or factual issues into plain language communications.
·  English language skills to business standard preferred.
